    Terms of Service

    These Terms of Service ("Terms") constitute a legally binding agreement between AI for Biz (ABN: 13 610 471 282) ("we", "us", or "our") and the business entity or individual registering for our services ("Client", "you").

    By accessing our website at aiforbiz.com.au, activating an account or subscribing to any of our plans, you agree to be bound by these Terms. If you do not agree, please do not use our services.

    1. Services

    AI for Biz provides AI-powered automation services for businesses, including but not limited to:

    • 24/7 AI Receptionist — An AI voice and messaging agent that handles inbound inquiries, bookings, and lead capture on your behalf around the clock.
    • Content Studio — An AI-assisted content creation and scheduling service for social media, blogs, and marketing materials.

    We grant you a non-exclusive, non-transferable right to use our software suite, automated tools, and AI communication engines during your active subscription. Service features, inclusions, and limits are described on our website at the time of purchase. We reserve the right to update, improve, or modify services with reasonable notice.

    2. Eligibility

    You must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or your business. By purchasing, you represent and warrant that this is the case.

    3. Subscriptions and Billing

    3.1 Subscription Plans
    Our services are offered on a monthly or annual subscription basis. Pricing is displayed at checkout in Australian Dollars (AUD).

    3.2 Automatic Renewal
    Subscriptions renew automatically at the end of each billing period (monthly or annually) unless cancelled before the renewal date. By subscribing, you authorise us to charge your nominated payment method on each renewal date.

    3.3 Annual Plans
    Annual subscriptions are billed upfront for 12 months. The discounted annual rate is applied in full at the time of purchase.

    3.4 No Lock-In (Monthly Plans)
    All standard monthly plans operate on a month-to-month basis with no lock-in contracts. You may cancel at any time in accordance with Section 7.

    3.5 Price Changes
    We reserve the right to change subscription pricing. We will provide at least 30 days' written notice (via email) before any price change takes effect. Continued use of our services after the effective date constitutes acceptance of the new price.

    4. Usage-Based Charges

    Standard subscription fees cover access to the platform. The following services are metered and billed separately based on actual usage at standard billing rates:

    • SMS messaging — outbound and inbound text messages sent via our platform.
    • AI voice calls — outbound and inbound AI-initiated calls handled by the system.
    • Email delivery — high-volume transactional or marketing email delivery.

    Usage charges will be applied to your account and invoiced in addition to your subscription fee. Our internal platform logs and billing metrics shall serve as the sole and definitive record for calculating all usage-based charges.

    4.1 Conditional Call Forwarding (CCF)
    If you choose to configure Conditional Call Forwarding (CCF) from your existing telecommunications carrier (e.g., Telstra, Optus) to redirect calls to our AI system, you are solely responsible for any call-forwarding fees charged by your original carrier. AI for Biz has no control over and accepts no liability for third-party carrier charges.

    5. GST and Taxes

    For Australian residents, all subscription prices displayed on our website are inclusive of GST at 10% in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth). A tax invoice will be issued for each payment.

    For non-Australian clients (e.g., US or international clients), services are treated as export supplies and are GST-free, provided that you are located outside Australia at the time the services are rendered.

    6. Payment

    Payments are processed securely via Stripe. We do not store your credit card details. By providing payment information, you agree to Stripe's Terms of Service and Privacy Policy.

    All payments must be made in full at the time of purchase or renewal. If a payment fails, we will notify you and may suspend access to your services until the outstanding amount is settled.

    7. Cancellation Policy

    7.1 Monthly Subscriptions
    You may cancel a monthly subscription at any time via your dashboard or by contacting our support team. Cancellation takes effect at the end of the current billing period. No refund is issued for the remaining days of the current month.

    7.2 Annual Subscriptions
    You may cancel an annual subscription at any time. If you cancel within 14 days of your initial purchase and have not materially used the service, you may request a pro-rata refund. After 14 days, annual subscriptions are non-refundable.

    8. Refund Policy

    We do not offer refunds outside of the circumstances described in Section 7, except where required by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). Where a major failure of service occurs, you may be entitled to a remedy under Australian Consumer Law.

    9. Client Responsibilities and AI Content

    • You are solely responsible for all content, information, and data you provide to train or configure your AI agent.
    • You acknowledge that AI-generated responses are automated and may not always be 100% accurate. You are responsible for reviewing, editing, and ensuring the appropriateness of all AI-generated content before it is communicated to third parties.
    • You warrant that all communication sequences, text messages, and automated voice calls initiated through our platform comply with the US Telephone Consumer Protection Act (TCPA), the Australian Spam Act 2003 (Cth), and all relevant global telecommunications regulations. You strictly indemnify us against any regulatory fines, statutory damages, or legal claims arising from unauthorised or unsolicited automated communications.
    • You must ensure all contacts in your database have provided explicit opt-in consent to receive communications in accordance with applicable privacy laws.

    10. Intellectual Property

    10.1 Our IP
    All content, software, AI models, workflows, branding, and materials provided by AI for Biz remain our exclusive intellectual property. Your subscription grants you a limited, non-exclusive, non-transferable licence to use our services during your active subscription period only.

    10.2 Your Content
    You retain full ownership of all content and data you provide to us ("Your Content"). By using our services, you grant us a limited licence to process and use Your Content solely for the purpose of delivering our services to you.

    11. Acceptable Use

    You agree not to use our services to:

    • Violate any applicable local or international law or regulation.
    • Send unsolicited commercial messages (spam) or engage in deceptive marketing.
    • Impersonate any person or entity.
    • Upload or transmit viruses, malware, or harmful code.
    • Engage in any activity that interferes with or disrupts our infrastructure.
    • Resell or sublicence our services without prior written permission from AI for Biz.

    We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these conditions.

    12. Sub-Account and Onboarding

    Upon successful payment, we will provision a dedicated workspace for your business within our platform. You are responsible for providing accurate and complete business information during onboarding. We are not liable for delays or errors caused by incorrect or incomplete information supplied by you.

    13. Confidentiality

    Both parties agree to keep confidential any non-public, proprietary, or sensitive information shared during the course of the business relationship. This obligation survives termination of these Terms for a period of 2 years.

    14. Privacy

    We collect and handle personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). Please review our Privacy Policy at aiforbiz.com.au/privacy-policy for full details on how we collect, store, use, and disclose your personal information.

    15. Limitation of Liability

    To the maximum extent permitted by law:

    • We provide our services "as is" without warranty of any kind, express or implied.
    • We do not guarantee that our services will be uninterrupted, error-free, or achieve any specific business outcome.
    • Our total liability to you for any claim arising from these Terms or our services shall not exceed the total subscription fees paid by you in the 3 months preceding the claim.
    • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or loss of business opportunities, arising out of the performance, output, or downtime of our AI models or platform.

    Nothing in these Terms excludes any guarantee, condition, or warranty implied by the Australian Consumer Law that cannot lawfully be excluded.

    16. Indemnification

    You agree to indemnify and hold harmless AI for Biz, its operators, directors, employees, and agents from and against any claims, losses, damages, or expenses (including reasonable legal fees) arising from:

    • Your use or misuse of our services.
    • Your violation of these Terms.
    • Any content, data, or instructions you provide through our services.
    • Any third-party claims relating to your use of AI-generated communications.

    17. Service Availability

    We aim to maintain high availability of our services but do not guarantee 100% uptime. Temporary interruptions may occur due to scheduled maintenance, third-party outages (including Stripe, telecommunications carriers, or core AI infrastructure providers), or events beyond our reasonable control. We will endeavour to provide advance notice of planned downtime where possible.

    18. Termination

    We may suspend or terminate your access to our services immediately if:

    • You breach any provision of these Terms and fail to remedy the breach within 7 days of written notice.
    • Your payment fails and is not remedied within 7 days.
    • We reasonably believe continued use creates legal, regulatory, or reputational risk.

    Upon termination, your right to use our services ceases immediately. We will retain your data for 30 days post-termination, after which it may be permanently deleted.

    19. Governing Law and Disputes

    These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be referred to mediation before either party commences legal proceedings. The courts of New South Wales have non-exclusive jurisdiction.

    20. Changes to These Terms

    We may update these Terms from time to time to reflect changes in our services, pricing, or applicable law. We will notify you of material changes via email at least 14 days before they take effect. Your continued use of our services after the effective date constitutes acceptance of the updated Terms. The current version of these Terms is always available at aiforbiz.com.au/terms-of-service.

    21. Entire Agreement

    These Terms, together with our Privacy Policy and any additional onboarding documentation, constitute the entire agreement between you and AI for Biz with respect to your use of our services, and supersede all prior agreements, representations, or understandings.
